1. ACCEPTANCE OF TERMS Welcome to MoraCen LLC ("Company", "we", "our", "us"). These Terms of Service ("Terms") constitute a legally binding agreement between you (whether personally or on behalf of an entity) and MoraCen LLC. These Terms govern your access to and use of our website, proprietary Software-as-a-Service (SaaS) platforms, API architecture, and data refinery tools (collectively, the "Services"). By accessing or utilizing our Services, you explicitly acknowledge that you have read, understood, and agree to be bound by all of these Terms.
2. NATURE OF SERVICES AND STRICT DISCLAIMER MoraCen LLC operates exclusively as a technology development and software management infrastructure firm. We engineer proprietary backend tools for data analytics, workflow automation, and operational management. Disclaimer of Professional Advice: The outputs, analytics, and data generated by our Services are provided strictly for informational and operational purposes. MoraCen LLC is not a registered broker, financial institution, or law firm. No data, communication, or software functionality provided by the Company should ever be construed as investment, financial, tax, or legal advice. You assume full operational and financial responsibility for any decisions made based on our software outputs.
3. INTELLECTUAL PROPERTY AND PROPRIETARY RIGHTS All software code, algorithms, data structures, UI/UX designs, trademarks, and original content developed by or licensed to MoraCen LLC remain our exclusive intellectual property, protected by United States and international copyright and trademark laws. You are granted a limited, non-exclusive, non-transferable license to access the Services for their intended operational purpose.
Strictly Prohibited Actions: You may not copy, reverse-engineer, decompile, scrape, or create derivative works from our software, APIs, or data models without explicit, written authorization from MoraCen LLC.
4. USER ACCOUNTS AND SECURITY To access certain SaaS functionalities, you may be required to register an account. You maintain strict liability for the confidentiality of your account credentials and all activities executed under your account. You agree to notify our security team immediately of any unauthorized access. MoraCen LLC accepts no liability for losses or damages arising from compromised user credentials.
5. ACCEPTABLE USE POLICY (AUP) By utilizing our Services, you agree not to:
Deploy our platforms for any unlawful, fraudulent, or malicious activities.
Introduce viruses, trojans, logic bombs, or other technologically harmful material into our infrastructure.
Interfere with, disrupt, or attempt to bypass the security protocols of our networks, servers, or APIs.
6. DISCLAIMER OF WARRANTIES THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MORACEN LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.
7. LIMITATION OF LIABILITY IN NO EVENT SHALL MORACEN LLC, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SERVICES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US FOR THE SERVICES DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.
8. INDEMNIFICATION You agree to defend, indemnify, and hold MoraCen LLC and its affiliates harmless from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of: (1) your use of the Services; (2) breach of these Terms; (3) any breach of your representations and warranties set forth in these Terms; or (4) your violation of the rights of a third party, including intellectual property rights.
9. GLOBAL TRADE AND EXPORT COMPLIANCE Our Services are engineered and managed from the United States. You agree to comply with all applicable U.S. and international export control laws and economic sanctions. You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to a U.S. Government embargo, nor are you listed on any U.S. Government list of prohibited or restricted parties.
10. TERMINATION AND SUSPENSION We reserve the absolute right, at our sole discretion, to suspend, disable, or terminate your access to our Services at any time, with or without cause, and without prior notice or liability.
11. GOVERNING LAW AND DISPUTE RESOLUTION These Terms and your use of the Services shall be governed by and construed strictly in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law principles. Any legal action of whatever nature brought by either you or us shall be commenced or prosecuted in the state and federal courts located in Pennsylvania, and the parties hereby consent to the exclusive jurisdiction of such courts.
